1. Subject and acceptance
This agreement (the « Agreement ») governs the use of the PulseMyPortfolio software (« PMP », « the Software »), published by WM STUDIOS (« the Publisher »), on all its platforms (Windows, macOS, Linux, Android, and the web or PWA version). By installing or using PMP, the user (« you ») accepts this Agreement. If you do not accept it, do not install or use the Software. The Software is licensed, not sold; the Publisher retains all rights not expressly granted to you.
2. Definitions
- Standard tier: all PMP features accessible free of charge, without any purchase.
- Pro tier: the advanced features unlocked by a valid Pro Licence.
- Pro Licence: a right to use the Pro features, evidenced by a licence key

3. Standard licence (free)
The Publisher grants you a free, worldwide, non-exclusive licence of indefinite duration to install and use the Standard tier of PMP on your devices, for personal purposes, in accordance with this Agreement.
4. Pro Licence (paid)
Purchasing a Pro Licence (see the Terms of Sale) grants you a personal, non-exclusive, perpetual licence (one-time payment, no subscription) to use the Pro features, on the following terms:
- Personal use, 2 devices at a time: the Pro Licence is attributed to one person and intended for your own devices. It activates on at most 2 devices at the same time (for example a computer and a phone). You may release a slot at any time from within the application in order to activate another device: the number of changes is not limited, only the number of active devices is.
- Online activation, then offline use: the first activation of a purchased Pro Licence requires an internet connection (verification of the key and registration of the device). The application then works offline; an online re-verification is requested periodically (a tolerance window of 30 days). The computation of your analyses, valuations and tax documents remains entirely local: that verification concerns the licence only.
- Not transferable, not resaleable: you may not resell, share or redistribute your licence key, which is deemed personal.
- Perpetuity: the Pro Licence remains valid for the versions covered by the conditions in force on the date of purchase.
- AI costs are payable by you: PMP works on a bring your own key basis; AI analyses use your own API keys, and their consumption is billed by the providers you choose, outside the price of the Pro Licence (see Terms of Sale, art. 3).
5. Use restrictions
You undertake not to, and not to allow a third party to: circumvent, disable or tamper with the licence mechanism (in particular the verification of the key and device registration); share, publish, resell or distribute a Pro licence key; redistribute the modified Software while presenting it as an official version from the Publisher; use the trade marks, logos or the names « PulseMyPortfolio » or « WM STUDIOS » without authorisation. The rights you hold under the law, in particular the right of decompilation for interoperability purposes (article L122-6-1 of the French Intellectual Property Code), are not restricted by this article.
6. Intellectual property
The Software, its code, its analysis methodologies, its interface and its documentation are the property of WM STUDIOS or its licensors, and are protected by copyright. Market data (via Yahoo Finance), third party AI providers and the broker trade marks mentioned belong to their respective owners; mentioning them implies no partnership.
7. Personal data and confidentiality
PMP is local first by design: your data (holdings, wealth, analyses, API keys) remains stored locally on your device, and no such data is collected on the Publisher's servers. Activating a Pro licence is the only exception: it sends the key and a hashed device fingerprint, recorded on the Publisher's licence server (see the privacy policy). Some actions that you trigger do however transmit data to third parties: an AI analysis sends the relevant data to the AI provider you have configured (with your API key); retrieving prices and news goes through Yahoo Finance; a bug report is pre-filled in your own mail client. 8. No warranty (« as is »): an analysis tool, not advice
To the extent permitted by law, the Software is provided « as is » and « as available », without warranty of any kind as to its fitness for a particular purpose. PMP is a tool for analysis and information, purely descriptive in intent. It is not an investment adviser within the meaning of the applicable regulation (in particular the French status of conseiller en investissements financiers, art. L541-1 et seq. of the French Monetary and Financial Code) and is not authorised to provide such advice. In particular, the valuations, projections, tax estimates, per-axis scores and AI analyses produced by PMP are based on market data and models; they constitute neither investment advice, nor tax advice, nor a personalised recommendation, nor any incitement, steer or buy or sell signal, and they may contain errors or stale data. Investment decisions and tax returns are your sole responsibility; if in doubt, consult a duly authorised professional.
Important, consumer sales: this « as is » clause does not deprive the buyer of a Pro Licence of the mandatory statutory guarantees applicable to that purchase (statutory guarantee of conformity, guarantee against hidden defects; see the Terms of Sale). Those statutory guarantees cannot be excluded.
9. Limitation of liability
To the extent permitted by law, the Publisher shall not be liable for indirect damages (loss of business, loss of data, financial or investment losses, tax reassessment, decisions taken in reliance on an estimate or an analysis). Nothing in this Agreement limits the Publisher's liability in cases of wilful misconduct, gross negligence, personal injury, or in any other case where the law prohibits it.
10. Term and termination
The Agreement applies for as long as you use the Software. It terminates automatically if you breach a material provision of it (in particular article 5). On termination, you must cease using the Software and uninstall its components. Termination of the Standard licence or of an unlawful use is without prejudice to rights acquired under a lawfully acquired Pro Licence.
11. Geographic availability and excluded territories
Notwithstanding the « worldwide » character of the Standard licence mentioned in article 3, the Software (both the Standard and Pro tiers) is neither offered, nor granted, nor intended to be installed or used in the United States of America, including its territories and possessions.
By installing or using the Software, you represent that you are not located or resident in the United States. The Publisher implements reasonable measures to prevent sales into that territory (payment restrictions, withdrawal of the relevant markets on distribution platforms) and reserves the right to refuse or revoke access obtained in breach of this article. This restriction is temporary and may be lifted at a later date.
12. Governing law and disputes
This Agreement is governed by French law. For any dispute with a consumer, the rules of jurisdiction protective of consumers under the French Consumer Code apply; any complaint is first pursued amicably, directly with the Publisher, before recourse to a consumer mediator (see Terms of Sale, art. 12).

This Agreement is written in French. Any translation, in particular into English, is provided for information only. In the event of any discrepancy in interpretation between the French version and a translation, the French version prevails and constitutes the only contractual text.
